We often advise on restructuring businesses to make them more efficient.  Sales and purchases, mergers and acquisitions (M&A) and management buy-outs (MBOs) require attention to commercial detail and our experienced team is well equipped to deal with legal due diligence, the drafting of agreements and negotiating terms on your behalf. We can advise on the structuring of a transaction for clients to obtain the best market and tax benefits.  This can mean receiving the consideration in a number of ways, including loan notes or bonds and securing future payments by bank guarantees or letters of credit.

Our practical and commercial approach from the outset ensures that the correct mechanism is employed, the risks are minimised and the transaction process does not lose sight of your commercial objectives. Our principles are the same for any size of transaction – from $10 million deals (a US domain registration company) to the purchase of a pharmacy for £65,000.

We often provide assistance with management takeovers. These MBOs can be at any stage of a company’s development. We have recently assisted a UK design agency to negotiate independence from its Swedish parent subject to detailed earn-out terms.
